1. Definitions

• "Stratiq" / "We" / "Us": Stratiq Co., Ltd., registered at 19/7 Charoen Krung Soi 36, Bang Rak, Bangkok 10500, Thailand.
• "Service": The consulting services offered by Stratiq, as described on this website.
• "User" / "You": Any person or organisation accessing our website or engaging our services.
• "Engagement": A specific consulting project agreed between Stratiq and a client, defined by a written scope document.
• "Agreement": These Terms & Conditions, together with any engagement scope document and mutual NDA, form the full agreement between the parties.

2. Acceptance of Terms

By accessing this website or engaging Stratiq's services, you agree to be bound by these Terms & Conditions. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation. Use of our services is limited to individuals and organisations aged 18 or over with legal capacity to enter a contract.

3. Service Description

Stratiq provides business consulting services in three areas: Decision Architecture, Competitive Landscape Mapping, and Partnership Development. Each service is delivered according to a defined scope agreed in writing prior to commencement. Services are available to organisations operating in Thailand and Southeast Asia. Stratiq reserves the right to decline engagements at its discretion.

4. User Responsibilities

You agree to provide accurate, complete information when engaging with us. You are responsible for maintaining the confidentiality of any access credentials related to shared documents. You agree not to use Stratiq's website or deliverables for unlawful purposes, to misrepresent your identity, or to infringe any third-party rights.

5. Intellectual Property

All content on this website — including text, graphics, and methodology descriptions — is the intellectual property of Stratiq and is protected under applicable Thai and international law. Consulting deliverables (playbooks, maps, roadmaps) produced during an engagement are provided to the client for their internal business use. Stratiq retains ownership of the underlying methodologies and frameworks. You may not reproduce, distribute, or commercialise our deliverables without prior written consent.

6. Payment Terms

Service fees are denominated in Thai Baht (฿) and are published on our website. Payment terms are specified in each engagement scope document. Unless otherwise agreed, a deposit of 50% is required before work commences, with the balance due upon delivery of final outputs. Payments are accepted via Thai bank transfer. Invoices are issued in accordance with Thai tax requirements.

Cancellation and Refunds: If a client cancels an engagement after work has commenced, fees for work already completed are non-refundable. The initial deposit is non-refundable in all cases. Stratiq will refund any fees paid for work not yet commenced within 14 business days of cancellation notification.

7. Service-Specific Terms

Decision Architecture: Workshop scheduling is agreed in advance. Rescheduling requests made less than 5 business days before a session may incur a rescheduling fee. The decision playbook is delivered within 10 business days of the final workshop session.

Competitive Landscape Mapping: The scope of the competitor set is agreed at the outset. Changes to the agreed scope after research has commenced may affect the delivery timeline and fee. Quarterly refresh engagements are quoted and contracted separately.

Partnership Development: The quality and availability of potential partners identified depends on market conditions and is not within Stratiq's control. The shortlist represents our best assessment based on agreed criteria; it does not constitute a recommendation or endorsement of any specific organisation.

8. Disclaimers

Stratiq's services are provided for informational and strategic guidance purposes. Consulting outputs do not constitute legal, financial, investment, or regulatory advice. Stratiq makes no warranties that specific business outcomes will result from following any recommendations or frameworks produced during an engagement. All strategic decisions remain the responsibility of the client's leadership.

9. Limitation of Liability

To the fullest extent permitted by Thai law, Stratiq's total liability for any claim arising from or related to a consulting engagement shall not exceed the fees paid by the client for that specific engagement. Stratiq shall not be liable for indirect, consequential, incidental, or special damages, including lost profits or business opportunities, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold Stratiq, its directors, and staff harmless from any claims, losses, or damages arising from your breach of these Terms, your misuse of our deliverables, or any misrepresentation made by you in connection with an engagement.

11. Confidentiality

All consulting engagements are subject to a mutual non-disclosure agreement signed prior to commencement. Both parties agree to maintain the confidentiality of information shared during an engagement. This obligation survives termination of the engagement for a period of three years.

12. Termination

Either party may terminate an engagement with 10 business days' written notice. Upon termination, the client's obligation to pay for work completed to that point remains. Stratiq will deliver any outputs completed at the time of termination. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.

13. Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation does not resolve the matter within 30 days, disputes shall be submitted to the jurisdiction of the courts of Bangkok, Thailand. Parties may also agree to submit disputes to mediation before commencing legal proceedings.

14. General Provisions

These Terms constitute the entire agreement between the parties regarding use of our website, supplemented by any engagement scope documents and NDA. If any provision is found unenforceable, the remainder continues in effect. Failure to enforce any right does not constitute a waiver. Stratiq may not assign its obligations under an engagement without your prior written consent.

15. Changes to These Terms

Stratiq may update these Terms from time to time. Changes will be communicated via a notice on our website. Continued use of our website or services after the effective date of revised terms constitutes acceptance.
